Terms of Service

Effective: July 7, 2026

These terms govern your use of Tokeasy — the software distributed as the tokeasy npm package and OpenClaw plugin, and the services at tokeasy.net ("the Service"). By subscribing or using Tokeasy you agree to them. They're written in plain language on purpose; if anything is unclear, ask us.

1. What Tokeasy is

Tokeasy provides token-efficient tools for AI coding agents. The tools run locally on your machine. The Service handles subscriptions, license keys, license validation, and an optional anonymous savings leaderboard.

2. Subscription & billing

• Tokeasy is a paid subscription (currently $9/month) billed through Stripe. Payments are processed by Stripe; we never see your card details.
• Subscriptions renew monthly until canceled. Cancel anytime via the customer portal — we'll email you a secure billing link. Cancellation stops future charges; your license stays active until the end of the paid period.
• Card statements and receipts may show the name of our Stripe account ("Sproutsy") rather than "Tokeasy".
• Billing problem or unhappy in your first weeks? Email team@tokeasy.net — we're reasonable about refunds.

3. Your license

• Subscribing mints one personal license key, shown exactly once at checkout completion. Store it safely; we only keep a hash and cannot re-show it.
• Licensed software, not sold. Your key is personal and non-transferable: yours to use on up to 5 of your own devices (measured over a rolling 30 days), for any of your projects, commercial ones included.
• Don't share, publish, resell, or sublicense keys, and don't circumvent or attempt to defeat license validation. We may revoke licenses that are leaked, shared beyond the device limit, or abused.

4. Software behavior

• The tools operate on your local files at your direction. You're responsible for what you point them at and for reviewing edits they make.
• License validation requires periodic network access to tokeasy.net; validated licenses keep working offline for roughly four days between checks.
• We may update the software and the Service; features can evolve. We won't remove core functionality mid-subscription without a refund path.

5. Savings figures are estimates

The savings ledger labels its numbers honestly: calls saved are counted, bytes returned are measured, and byte/dollar/time savings are estimates built from published model list prices and stated session assumptions. They are not a guarantee of any specific reduction in your provider bill, which depends on your models, plans, caching, and usage.

6. Telemetry

The plugin reports anonymous aggregate savings counters (numbers only — never code, paths, or prompts) to power the public leaderboard. This is on by default and documented in our Privacy Policy; opt out anytime with TOKEASY_TELEMETRY=0. License validation itself is not optional while using licensed features.

7. Acceptable use

Don't use the Service to violate law, don't probe or disrupt our infrastructure, and don't submit falsified telemetry (the leaderboard is for real numbers). We may throttle or block abusive traffic.

8. Termination

You can stop using Tokeasy and cancel anytime. We may suspend or revoke licenses for material breach of these terms (key sharing, circumvention, abuse). If we revoke without cause, we'll refund your current period.

9. Disclaimers & liability

Tokeasy is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, our total liability for any claims arising from the Service is capped at the amount you paid us in the 12 months before the claim, and we are not liable for indirect, incidental, or consequential damages — including lost data or lost profits. Nothing here limits liability that cannot lawfully be limited.

10. Changes

We may update these terms; material changes will be reflected here with a new effective date. Continuing to use the Service after a change means you accept it.
